Terms of Service

1. Acceptance of Terms
By accessing or using ProofCustody (“the Service”), you agree to these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
ProofCustody provides deterministic, rules-based compliance auditing for insurance claims. The Service includes document ingestion, a deterministic rules engine for flag detection (no large language models are used in the rules engine), a human-in-the-loop review dashboard, a tamper-evident audit trail, and PDF report generation.
3. Ghost Audit Program
The Ghost Audit is a free, no-obligation sample report delivered as a PDF (a findings report, a chain-of-custody trail, and a provider disclosure). Ghost Audit sample reports run on ProofCustody-provided synthetic claims data and do not require users to upload PHI or live claims data; participation requires no BAA, order form, or paid subscription. Audits of live claims that involve Protected Health Information (PHI) are performed only under a signed Business Associate Agreement (BAA) and secure intake. You retain ownership of your data and any report we deliver, whether or not you subscribe.
4. Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to process data you do not have authorization to share, to attempt to reverse-engineer the compliance rules engine, or to circumvent any security or access controls.
5. HIPAA and Data Security
Sample audits use ProofCustody-provided synthetic data and require no BAA. For live-claim work that involves PHI, a Business Associate Agreement is executed before any PHI is processed, and processing occurs in a HIPAA-eligible environment. Email legal@proofcustody.com to request a BAA.
6. Subscription and Payment
Paid plans are billed in advance according to the terms set out in your order or pilot agreement. Fees are non-refundable except as required by law or as expressly agreed in writing.
7. Intellectual Property
The Service, including the rules engine, dashboard, and report templates, is our proprietary intellectual property. Your data, including uploaded claims and audit results, remains yours. We do not claim any ownership over your data.
8. Disclaimer of Warranties
The Service is provided “as is.” We do not warrant that the Service will be error-free or that every compliance issue in your claims data will be detected. The Service is an audit assistance tool and does not constitute legal or compliance advice.
9. Limitation of Liability
To the maximum extent permitted by law, our liability for any claim arising from your use of the Service is limited to the fees you paid in the three months preceding the claim.
10. Termination
Either party may terminate a subscription with 30 days' written notice. Upon termination, your data is retained for 90 days and then permanently deleted unless you request earlier deletion.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
